1. Agreement to these Terms

These Terms of Use (the "Terms") govern your access to and use of www.protolyn.com and any subdomains (together, the "Site"). The Site is owned and operated by Protolyn Limited, a company incorporated in the Hong Kong Special Administrative Region with its registered office at No.1 Glenealy, Central, Hong Kong ("Protolyn", "we", "us", "our").

By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf.

2. About the Site and our products

The Site provides information about Protolyn Limited, the consumer hardware products we design, manufacture and sell, our brands, and our activities.

• Product descriptions, specifications, images, renders, availability and pricing shown on the Site are for information only, may change without notice, and do not constitute an offer to sell.
• Purchases of our products are made through our brand online stores or authorised retailers. Each purchase is governed by the terms of sale, shipping and return policies and privacy policy published on the relevant store, not by these Terms.
• Products may not be available in every country, and features may differ by region.
• Our products must be used in accordance with the instructions, warnings and safety information supplied with them.
• Nothing on the Site constitutes legal, financial, medical, safety or other professional advice, and nothing on the Site is an offer of securities or an invitation to invest.

3. Changes to the Site and to these Terms

We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms from time to time. The current version will always be posted on the Site with its effective date, and your continued use of the Site after an update means you accept the updated Terms.

4. Permitted use

You may use the Site for lawful personal or internal business purposes. You must not:

• use the Site in any way that breaches applicable law or regulation, or infringes anyone's rights;
• copy, reproduce, scrape, crawl, extract, harvest or data-mine any content or data from the Site, whether manually or by automated means, including for the purpose of training machine-learning or artificial-intelligence models, without our prior written consent;
• attempt to gain unauthorised access to the Site, the servers on which it is hosted, or any connected system, or probe or test their vulnerability;
• interfere with the proper working of the Site, or introduce viruses or other malicious code;
• use the Site to send unsolicited or unlawful communications, or to impersonate any person or misrepresent your affiliation with anyone;
• frame or mirror any part of the Site, or remove any copyright, trademark or other proprietary notice;
• decompile, reverse engineer or disassemble any software forming part of the Site, except where the law expressly permits it.

We may restrict, suspend or terminate your access to the Site, without notice, if we reasonably believe you have breached these Terms.

5. Intellectual property

All content on the Site, including text, graphics, logos, icons, photographs, images, product renders, video, audio, software, and the selection and arrangement of that content, is owned by or licensed to Protolyn Limited and is protected by copyright, trademark, registered and unregistered design, patent and other intellectual property laws of Hong Kong and other jurisdictions.

We grant you a limited, revocable, non-exclusive and non-transferable licence to view the Site and to print or download extracts for your personal or internal business use, provided you keep all proprietary notices intact. No other right or licence is granted, and all rights not expressly granted are reserved.

PROTOLYN, FIRST FLIP and the associated logos are trademarks of Protolyn Limited. All other names, logos and marks on the Site belong to their respective owners. You may not use any trademark shown on the Site without the prior written consent of its owner. Our product designs may be protected by registered or unregistered design rights and by granted or pending patents.

6. Feedback and unsolicited submissions

We are glad to hear from you. However, we receive many product ideas and we develop products independently, and some of what we receive may resemble work already under way. If you send us ideas, suggestions, concepts, designs, proposals or other materials that we did not specifically request ("Submissions"):

• your Submission is treated as non-confidential and non-proprietary;
• we have no obligation to review, return, acknowledge, keep confidential or pay for any Submission;
• you grant Protolyn Limited a perpetual, irrevocable, worldwide, royalty-free, transferable and sub-licensable licence to use, reproduce, adapt, modify, publish, distribute and commercially exploit the Submission for any purpose, without compensation or attribution; and
• you confirm that you have the right to make the Submission and that it does not infringe the rights of any third party.

If you have confidential information or a proprietary design that you would like to share with us, please contact us first and do not send it until we have agreed in writing how it will be handled. Nothing in this Section 6 overrides any separate written agreement between you and Protolyn Limited, such as a non-disclosure, non-use and non-circumvention agreement, supply agreement or partnership agreement.

7. Communications through the Site

If you contact us through the Site, you agree that we may respond by email, telephone or other electronic means. Any information you provide must be accurate, lawful and not misleading. Personal data you provide is handled in accordance with our Privacy Policy.

8. Third-party websites and content

The Site may contain links to third-party websites, including our brand stores, retailers, social media platforms and other resources. We do not control those sites and are not responsible for their content, products, services or privacy practices. A link does not imply endorsement. Your use of any third-party site is at your own risk and subject to that site's terms.

9. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we exclude all warranties and representations of any kind, whether express, implied or statutory, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure or free of errors or harmful components.

We make reasonable efforts to keep the information on the Site current, but it may contain inaccuracies or omissions, and we do not undertake to update it. Reliance on any information on the Site is at your own risk.

10. Limitation of liability

To the fullest extent permitted by applicable law, Protolyn Limited and its directors, officers, employees, contractors, agents and affiliates will not be liable for any loss or damage of any kind, whether direct, indirect, incidental, special, consequential or punitive, or for any loss of profits, revenue, business, data, goodwill or anticipated savings, arising out of or in connection with your use of, or inability to use, the Site or its content, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if we have been advised of the possibility of such loss.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under mandatory consumer protection law. If you are a consumer resident in the European Economic Area or the United Kingdom, you have rights under the law of your country of residence that these Terms do not affect. Liability relating to the purchase or use of a physical product is governed by the applicable terms of sale and product law, not by these Terms.

11. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Protolyn Limited and its directors, officers, employees, contractors, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms or your misuse of the Site.

12. Privacy

Our collection and use of personal data through the Site is described in our Privacy Policy, which forms part of these Terms.

13. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims), are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction to settle any such dispute or claim.

If you are a consumer resident in the European Economic Area or the United Kingdom, you may also bring proceedings in the courts of your country of residence, and you benefit from any mandatory provisions of the law of that country. Nothing in this Section prevents us from seeking injunctive or other urgent relief in any court of competent jurisdiction.

14. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding your use of the Site and replace any earlier terms relating to it. They do not affect any separate written agreement between you and Protolyn Limited.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be applied to the fullest extent permitted by law and the remaining provisions will continue in full force.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
• Assignment. We may assign or transfer our rights and obligations under these Terms to an affiliate or a successor to our business. You may not assign or transfer your rights or obligations under these Terms.
• Third-party rights. No person other than you and Protolyn Limited has any right to enforce these Terms, whether under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) or otherwise.
• Language. These Terms are written in English. If they are translated, the English version prevails.
